Appointment of Members of the Supervisory Board of sixth term of office

The Management Board of OEX S.A. with registered office in Warsaw (hereinafter referred to as the ‘Company’), acting in accordance with §5 sec. 1 clause 22) of the Regulation of the Minister of Finance of 19 February 2009 on ongoing and periodical information to be disclosed by security issuers and on conditions of recognition of information required by the laws of a state that is not a member-state, hereby informs whom it may concern that the Ordinary General Meeting of Shareholders appointed the following persons to the Supervisory Board of the sixth term of office effective as of the date the General Meeting of Shareholders approving the financial statements for 2016 was held, i.e. 22 June 2017:

  • Mr Piotr Beaupré,
  • Mr Tomasz Słowiński,
  • Mr Piotr Cholewa,
  • Mr Michał Szramowski,
  • Mr Tomasz Mazurczak.

The newly appointed Supervisory Board of the Company, at its meeting held on 22 June 2017, adopted a resolution appointing Mr Piotr Beaupré to be the Chairman of the Supervisory Board and appointing Mr Tomasz Słowiński to be the Secretary of the Supervisory Board.

Resumes of Members of the Supervisory Board of sixth term of office:

Mr Piotr Beaupré has over 25 years of business experience in many areas, including the business services, mainly in the advertising and marketing area as well as power engineering and agricultural properties. Since 1993, Mr Piotr Beaupré has been an active investor in the new economy areas. He is a Managing Partner in Neo Investments, responsible for the development and business of companies related to agricultural industry and power engineering.

Professional experience:

  • In 1989 was a co-founder of the first Polish Advertising Agency – ‘Galicja’ in Krakow, operating in the area of marketing and advertising communication. In 2001, the Galicja Advertising Agency merged with Euro RSCG.
  • In 1997, participated in the creation of the first call centre operator in Central Europe – Call Center Poland..
  • Since 1999, President of the Management Board of EBS S.A.appointed jointly with Swiss partners. Currently, EBS S.A. manages a network of almost 200 most modern eco-friendly laundries ‘5 a SEC’ located in large networks and commercial malls.
  • In 2001, participated in the merger of two local advertising agencies: Marketing House and Dialog with Euro RSCG (currently Havas Worldwide Warsaw).
  • In 2002, together with two partners created the company Real Management S.A, which became the developer’s arm of Neo Investments.
  • In 2005, established EcoWind, a company that very soon became the largest wind far developer (1150 MW), as was confirmed by the 2011 transaction of the sale of controlling shares in the company to the largest energy concern of Eastern Europe, i.e. CEZ AS.
  • Since 2006 – President of the Management Board of Fundusz Areał S.A., one of the first Polish entities to consolidate agricultural land.
  • In 2012, co-participated in the establishment of Nanovo Media sp. z o. o., which is an integrator of the new offline technologies.
  • In 2014, together with two partners, founded a company Neo Energy sp. z o. o., which, after 2 years of operation, became a leader of power and heat production at waste dumps, operating on 10 such sites in Poland.
  • In 2015, established Poland’s first Classic Car Auction House ARDOR, which has successfully carried out auctions of approx. 60 previous cars.

 

Mr Tomasz Słowiński – has university-level education, a graduate of the Warsaw School of Economics, Department of Foreign Trade (1987 – 1993).

Mr Tomasz Słowiński has over 20 years of experience in business, including investment banking and finance, as well as at managerial and operational positions in various business areas. He also has over 16 years of experience as a manager and entrepreneur in the area of business process outsourcing and services for business.

Between 1992-2000, worked for an investment bank belonging to one of the world’s top financial institutions – the British HSBC, where he specialized in capital market transactions in Warsaw and London as well as M&A and privatizations.

Between 2001-2006, co-created and managed companies operating at the market of business process outsourcing, e.g. as President of the Management Board of PayrollCenter, leading Polish company dealing with the payroll and HR outsourcing, as well as a Managing Director for the CVO Group.

Since 2006, he is involved with the Neo investments Fund, where he is responsible for the investor’s supervision over the portfolio companies, capital transactions, new investments, financial matters, creation of international management structures and the compliance area.

 

Mr Piotr Cholewa – has university education. He graduated from the Civil Engineering Department of the Silesian University of Technology in Gliwice.

In the last years, Mr Piotr Cholewa has performed the following functions in the governing bodies of the following companies:

  • Since 2007 in Stark Development S.A. with registered office in Chorzów, until 18/09/2008 as the President of the Management Board of Stark Development S.A. from 18/09/2008 to 16/12/2013, as member of the Supervisory Board of Stark Development S.A. in Chorzów, including as its Chairman and Vice Chairman,
  • since 2010, in ArchiDoc S.A. with registered office in Katowice, as Chairman of the Supervisory Board, until now
  • since 2010, in Call One S.A. with registered office in Chorzów, as Chairman of the Supervisory Board, until now
  • since 2011, in Galposter sp. z o.o. with registered office in Warsaw, as Vice Chairman of the Supervisory Board, until 2015
  • since 2011, in Voice Contact Centre sp. z o.o. with registered office in Warsaw, as Vice Chairman of the Supervisory Board, until 2017
  • since 2011, in CURSOR S.A. with registered office in Warsaw, as Vice Chairman of the Supervisory Board, until 2015
  • since 2011, in GAD S.A. with registered office in Warsaw, as Vice Chairman of the Supervisory Board, until now
  • Since 16/12/2014, in FON S.A. as Member of the Supervisory Board, until 2017.

 

Mr Michał Szramowski – Master of Science in Economics, graduated from the Department of Banking and Finance of the Warsaw School of Economics. Since mid-1990s actively involved in investment and development projects related to the area of commercialisation, marketing and finances.

During his professional career, between 1999–2008, held high managerial functions in international companies present in Poland, e.g. the German concern ‘Metro AG’, the Dutch capital group ‘European Construction Consortium (ECC)’.

Mr Michał Szramowski is currently the owner and President of the Management Board of MS Investments’, which is a private equity investor in Polish and foreign companies on the equity market. He is the initiator, co-founder and Managing Partner of the ‘Universal Properties’ Group, which has been active on the commercial property market in Poland for over 16 years. The total value of assets of the Group, including the projects carried out in cooperation with external investors, is over PLN 200 million.

Since 2008, Michał Szramowski has been a member of the Polish Business Council – an elite organisation of owners and key managers of the largest Polish enterprises. Furthermore, since 2015 he has been a member of the Audit Committee, a body controlling the Association’s finances.

 

Mr Tomasz Mazurczak – graduated from the Department of Foreign Trade of the Poznan University of Economics. Holds investment adviser’s licence No. 18 and stock broker’s licence No. 263.

Between 1994 – 2006 was involved with the mBank Group as, successively: CEO’s advisor in the Department of Restructuring and Privatisation, manager of client portfolios of the Brokerage House of mBank, Director of Institutional Sale and Analysis Department and member of the Management Board of the Brokerage House of mBank.

Between 2007 – 2013 worked with Skarbiec TFI (Investrment Fund) and Trigon Dom Maklerski (Brokerage House) in the market analyses area. Since 2015, has been a parter with Zolkiewicz&Partners Inwestycje w Wartość FIZ (Close-end Investment Fund).

Has been a member of Supervisory Boards of such companies as: GTC SA, Warimpex Finanz- und Beteiligungs AG, Sanok Rubber and Kredyt Inkaso SA.

In accordance with their statements, the appointed Members of the Supervisory Board are not engaged in any activities competitive to the business of the Company, do not participate in competitive entities as a partner of a civil law or commercial law partnership or a member of governing bodies of companies, do not participate in any competitive legal person as a member of its governing bodies, and have not been listed in the register of insolvent debtors maintained in accordance with the National Court Register Act.
