Appointment of Tomasz Kwiecień to be a Member of the Supervisory Board of OEX S.A.

The Management Board of OEX S.A. with registered office in Warsaw (hereinafter referred to as the ‘Company’) hereby informs whom it may concern that by virtue of resolution of the Extraordinary General Meeting of Shareholders of the Company dated 5 March 2018, Mr Tomasz Kwiecień, was appointed a Member of the Supervisory Board of the Company effective as of 5 March 2018.

Below is presented the resume of Mr Tomasz Kwiecień.

Mr Tomasz Kwiecień (born in 1977) is a graduate of the University of Economics in Krakow. Mr Tomasz Kwiecień has extensive experience in the preparation and implementation of business strategies, capital investments, investor supervision and acquisition of financing. In early stages of his professional career, he was involved with Arthur Andersen and with Ernst & Young, where he worked in the Audit and Corporate Finance departments. Between 2004–2014 he was the Managing Director of the Warsaw office of Mezzanine Management, a consulting company of a group of Accession Mezzanine Capital funds investing in Poland and Central Europe. In Poland, he was responsible for, without limitation, the successful investments in Solaris Bus & Coach, LuxMed or Masterlease. Outside Poland, he was in charge of investments made in, for example, Jet Finance in Bulgaria or Norican in Denmark. During his career with Mezzanine Management, he was a member or was otherwise involved in the activities of the supervisory boards of such companies as: Zaberd, Lux Med, Solaris Bus & Coach, iSource, Masterlease, Norican or Dominum. Since the beginning of 2015 until the end of 2016, he was the President of the Management Board f AASA Polska S.A., a loan company.

Between March 2017 and end of January 2018, he was a member of the Management Board of OEX S.A. responsible for business strategy and development. Since February 2018, he has acted as the President of the Management Board of Vippo Sp. z o. o., a company offering instalment cash loans.

In accordance with his statement, Mr Tomasz Kwiecień is not engaged in any activities competitive to the business of the Company, does not participate in competitive entities as a partner of a civil law or commercial law partnership or a member of governing bodies of companies, does not participate in any competitive legal person as a member of its governing bodies, and has not been listed in the register of insolvent debtors maintained in accordance with the National Court Register Act.

Legal basis: Art. 56 (1) (2) of the Act on public trading and on conditions of introduction of financial instruments into organised trading systems and on public companies and §5 (1) (22) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodical information to be disclosed by security issuers and on conditions of recognition of information required by the laws of a state that is not a member-state.
