Draft amendment to the Statutes

Acting pursuant to §38 sec.1 item 2) of the Regulation of the Minister of Finance of 19 February 2009 on ongoing and periodical information to be submitted by issuers of securities and terms on which information required by the provisions of law of a non-member state is to be deemed equivalent (Official Journal of the Republic of Poland No. 33, pos. 259, as amended), the Management Board of TELL S.A. hereby makes it known that it intends to submit to the Supervisory Board and, then, to the Ordinary General Meeting the following draft amendment to §4 of the Company Statutes:
existing wording of §4:
“The objects of the Company shall be as follows:
1. Telecommunications (Polish Classification of Economic Activities (PKD) 64.2),
2. Wholesale of telecommunications equipment on a fee or contract basis (PKD 51.1),
3. Wholesale of office and machinery equipment (PKD 51.8),
4. Retail sale of telecommunications equipment (PKD 52.48 A),
5. IT (PKD 72),
6. Advertising (PKD 74.4).”

proposed amendment:

“The objects of the Company shall be as follows:
1. Other telecommunications activities (61.90.Z),
2. Retail sale of telecommunications equipment in specialised stores (47.42.Z),
3. Retail sale of computers, peripheral equipment and software in specialised stores (47.41.Z),
4. Wholesale of electronic and telecommunications equipment and parts (46.52.Z),
5. Wholesale of computers, peripheral equipment and software (46.51.Z),
6. Other retail sale not in stores, stalls or markets (47.99.Z),
7. Computer facilities management activities (62.03.Z),
8. Other business and management consultancy activities (70.22.Z).”

The draft amendment is intended to adjust the Statutes provisions to the Polish Classification of Economic Activities (PKD) 2007, currently in force.
