The Management Board of TELL S.A., acting pursuant to §5 sec.1 clause 22) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodical information to be disclosed by security issuers and on conditions of recognition of information required by the laws of a state that is not a member-state (consolidated text in Journal of Laws of 2014 item133), hereby wishes to inform whom it may concern that on 28 April 2014, in relation with the expiration of the terms of office of the Members of the Management Board of the Company upon the convention of the General Meeting of Shareholders approving the financial statements for 2013, the Supervisory Board appointed the Management Board of the third term of office in the following composition: Mr Rafał Stempniewicz, Mr Stanisław Górski and Mr Robert Krasowski. Simultaneously, the Supervisory Board entrusted the office of the President of the Management Board to Mr Rafał Stempniewicz. Applicable resolutions of the Supervisory Board come into force and effect on the day the General Meeting of Shareholders of the issuer approving the financial statements for the year 2013 took place.

Mr Rafał Stempniewicz

Mr Rafał Stempniewicz (born on 1963) is a graduate of the Medical University in Poznań where he obtained the title of medical doctor. Between 1989-1991, he completed his medical internship in the Health Care Centre in Oborniki Wlkp. Between 1991 and 1996, he was the Telecommunications Department Director in “EMAX” S.A. in Poznań. Since 1997, he has been employed by Tell Sp. z o.o. He held the office of the President of the Management Board of Tell S.A. in the period from 30 November 2004 to 11 May 2009 and, subsequently, from 16 September 2009 until now. Additionally, Mr Rafał Stempniewicz is a member of the Supervisory Board of Logzact S.A. with registered office in Poznań and member of the Supervisory Board of BB Investment Sp. z o.o. with registered office in Poznań.

In accordance with the statements made by Mr Rafał Stempniewicz, he is not engaged in any activities competitive to the business of the issuer, does not participate in competitive entities as a partner of a civil law or commercial law partnership or a member of governing bodies of companies, and does not participate in any competitive legal person as a member of its governing bodies, has not been listed in the register of insolvent debtors maintained in accordance with the National Court Register Act.

Mr Stanisław Górski

Mr Stanisław Górski (born on 1968) is a graduate of the Physical Education University in Poznań where he obtained a title of Master of Science in Tourism and Recreation. Mr Stanisław Górski additionally completed post-graduate MBA studies at the Wielkopolska Szkoła Biznesu in Poznań, validated by Nottingham Trent University. Between 1992 and 1993 he worked for Transmeble International Sp. z o.o. in Poznań as an international freight forwarding agent, between 1993 and 1995 he was a sole trader, between 1995 and 1998 he was employed by “EMAX” S.A. as chief commercial specialist, between 1998 and 2000 he was employed by Berker Polska Sp. z o.o. in Kórnik as Sales Director. Since 2000, in Tell Sp. z o.o., and consequently Tell S.A. as Sales and Marketing Director. Since 30 November 2004 he has held the office of Member of the Management Board of the Issuer.

In accordance with the statements made by Mr Stanisław Górski, he is not engaged in any activities competitive to the business of the issuer, does not participate in competitive entities as a partner of a civil law or commercial law partnership or a member of governing bodies of companies, and does not participate in any competitive legal person as a member of its governing bodies, has not been listed in the register of insolvent debtors maintained in accordance with the National Court Register Act.

Mr Robert Krasowski

Mr Robert Krasowski (born on 1970) is a graduate of the University of Economics in Poznań where he obtained the title of Master of Science. Between 1994-1996 he was employed in the 1st Branch of Kredyt Bank S.A. in Poznań as Credit Inspector in the Business Credit Department, between 1996 and 2002 he worked for the brokerage house Dom Maklerski BMT S.A. in Poznań as, consecutively: Project Manager, Primary Market Deputy Director, Corporate Finance Department Director and Member of the Management Board, in 2002 he worked for BB Investment Sp. z o.o. in Poznań as Member of the Management Board – Investment Manager. Since 2003 he has been employed by Tell Sp. z o.o., and then Tell S.A. as Member of the Management Board – Financial Director.
In accordance with the statements made by Mr Robert Krasowski, he is not engaged in any activities competitive to the business of the issuer, does not participate in competitive entities as a partner of a civil law or commercial law partnership or a member of governing bodies of companies, and does not participate in any competitive legal person as a member of its governing bodies, has not been listed in the register of insolvent debtors maintained in accordance with the National Court Register Act.
