Appointment of Members of the Supervisory Board of seventh term of office

Content of the report:

The Management Board of OEX S.A. with registered office in Warsaw (the ‘Company’), acting in accordance with §5 (5) read in conjunction with § 10 of the Regulation of the Minister of Finance of 29 March 2018 on ongoing and periodical information to be disclosed by security issuers and on conditions of recognition of information required by the laws of a state that is not a member-state as equivalent, hereby informs whom it may concern that the Ordinary General Meeting of Shareholders, in relation with the expiry of the term of office of the Members of the Supervisory Board upon the day of the General Meeting of Shareholders during which the annual financial statements for 2019 were approved, i.e. 25 August 2020, appointed the following persons to the Supervisory Board of the seventh term of office:

  1. Mr Piotr Beaupré,
  2. Mr Piotr Cholewa,
  3. Mr Tomasz Mazurczak,
  4. Mr Michał Szramowski,
  5. Mr Marcin Malka.

 

Resumes of Members of the Supervisory Board of seventh term of office:

Piotr Beaupré – since 1990 active investor in a number of areas of economy, including, but not limited to, marketing, outsourcing, power generation and e-commerce. Has over 30 years of business experience in many sectors. Is a Managing Partner in Neo Investments, responsible for the development and business of companies related to RES.

Professional experience:

  • Between 1990 – 2020 member of the Management Board and co-founder of Poland’s largest marketing group Galicja/ Euro RSCG
  • In 1997, co-founder of Call Center Poland
  • In 1999, member of the Management Board and co-founder of EBS S.A. currently managing a network of 200 EBS laundrettes and several dozen Thai Wok fast food restaurants
  • In 2002, on behalf of Neo Investments, co-created Real Management S.A.
  • In 2005, President of the Management Board and founder of EcoWind, the largest wind farm developer
  • In 2014, a member of the Management Board and a co-funder of Neo Energy, which after two years of operation became a leader in the electric energy generation at waste dumps, operating in 23 sites all over Poland
  • In 2019, President of the Management Board and co-founder of Neo Energy Group, one of the largest PV and wind farm developers in Poland

Piotr Cholewa – has university education. He graduated from the Civil Engineering Department of the Silesian University of Technology in Gliwice.

Mr Piotr Cholewa performed the following functions in the governing bodies of the following companies:

  • ArchiDoc S.A. with registered office in Katowice – President of the Management Board and Chairman of the Supervisory Board,
  • Call One S.A. with registered office in Chorzów – Chairman of the Supervisory Board,
  • Cursor S.A. with registered office in Warsaw – Vice Chairman of the Supervisory Board,
  • Fon S.A., a company listed at the New Connect, with registered office in Płock – Member of the Supervisory Board,
  • Galposter Spółka z o.o. with registered office in Warsaw – Vice Chairman of the Supervisory Board,
  • Archidoc SA Group with registered office in Warsaw – Vice Chairman of the Supervisory Board,
  • Stark Development S.A. a company listed at the New Connect, with registered office in Katowice – President of the Management Board, member of the Supervisory Board, Chairman and Vice Chairman of the Supervisory Board,
  • Tamtron S.A. with registered office in Katowice – Vice-President of the Management Board,
  • Voice Contact Center Spółka z o.o. with registered office in Warsaw – Vice Chairman of the Supervisory Board.

Tomasz Mazurczak  – graduated from the University of Economics in Poznań.

Professional experience:

  • 2020 – now: Vice-Chairman of the Audit Committee of the Supervisory Board of Odlewnie Polskie SA,
  • 2013 – 2020 Zolkiewicz & Partners FIZ – co-manager of the fund,
  • Between 2004 and 2017, in various periods, member of Supervisory Boards of the following listed companies:  Sanok Rubber, Warimpex, Kredyt Inkaso, GTC,
  • 2007 – 2010 Skarbiec TFI – analyst and then analysis team leader,
  • 1997 – 2006 BRE Bank Investment House – Director of the Institutional Sale and Analysis Area, then member of the Management Board,
  • 1995 – 1996 BRE Bank Investment House – manager of clients’ portfolios,
  • 1993 – 1994 BRE Bank – credit inspector, then advisor to the President of the Bank.

In accordance with the statement made, Mr Tomasz Mazurczak meets the independence criteria as mentioned in the 2016 Code of Good Practices of WSE Listed Companies.

Michał Szramowski – Master of Science in Economics, graduate from the Department of Banking and Finance of the Warsaw School of Economics. Since mid-1990s actively involved in investment and development projects related to the area of commercialisation, marketing and finances.
During his professional career, between 1999–2008, held high managerial functions in international companies present in Poland,  e.g. the German concern ‘Metro AG’, the Dutch capital group ‘European Construction Consortium (ECC)’.
Michał Szramowski is currently an owner and President of the Management Board of MS Investments, an investment holding that invests directly as a private equity investor in companies on the Polish equity market as well as on the market of residential and commercial properties. The total value of assets of the MS Investments Group, including the projects carried out in cooperation with external investors, is almost PLN 300 million. Since 2008, Michał Szramowski has been a member of the Polish Business Council – an organisation of owners and key managers of the largest Polish enterprises.

In accordance with the statement made, Mr Michał Szramowski meets the independence criteria as mentioned in the 2016 Code of Good Practices of WSE Listed Companies.

 

Marcin Malka –  has over 20 years of professional experience in the sector of properties and business services (BPO). Is a graduate of the Warsaw School of Economics and a member of the Association of Chartered Certified Accountants.

In his professional career, worked for many years for a property fund Europolis/CA Immo in the area of finance, accounting and corporate governance as a CFO and commercial proxy, member of the Management Board for an international developer group Immobel, managing the Finance Department and running developer projects, including PPP projects.  For a few years, Mr Marcin Malka worked in the BPO sector, for Arthur Andersen and for Accenture, participating in the organisation and management of service centres in the area of accounting services, reporting and liquidity management. During his professional career, he had foreign internships in Austria (property sector) and the UK (BPO).

Since April 2018 Marcin Malka is the President of the Management Board of Real Management S.A., which is actively involved in the residential and commercial property area in Poland.

In accordance with their statements, the appointed Members of the Supervisory Board are not engaged in any activities competitive to the business of the Company, do not participate in competitive entities as a partner of a civil law or commercial law partnership or a member of governing bodies of companies, and have not been listed in the register of insolvent debtors maintained in accordance with the National Court Register Act.
